1. Introduction and Acceptance of Terms
Welcome to Satierra Oil (“Satierra Oil,” “we,” “us,” or “our”).
Satierra Oil operates an online petroleum and energy supplier directory designed to help businesses, buyers, brokers, distributors, and other industry participants discover potential suppliers and business opportunities.

By accessing our website, creating an account, purchasing a membership, or using our Services, you agree to these Terms and our applicable Privacy Policy.
If you do not agree to these Terms, you must discontinue use of the Services.
You represent that you are at least 18 years old and have the legal authority to enter into these Terms on your own behalf or on behalf of the business you represent.
2. Description of Our Services
Satierra Oil provides a digital directory and business information platform designed to connect users with potential petroleum and energy suppliers.
Depending on your membership level and the features available at the time of purchase, our Services may include:

● Supplier names and publicly available or otherwise lawfully provided business contact information.
● Access to international supplier directories and potential sourcing opportunities.
● Supplier discovery tools and business connection resources.
● Membership-only directory information and other premium features.
● Updates to supplier listings and directory information as available.
Satierra Oil operates as an information and supplier discovery platform. Unless expressly agreed in a separate written agreement, Satierra Oil does not act as the seller, owner, shipper, transporter, refinery, terminal operator, importer, exporter, financial intermediary, or contracting principal in transactions between users and third-party suppliers.
Access to a supplier listing does not constitute an endorsement, certification, guarantee, or assurance that the supplier is legitimate, licensed, financially capable, available, or able to fulfill a transaction.
We may modify, improve, suspend, or discontinue any part of the Services, subject to applicable law and any specific contractual commitments we have made to you.
3. Membership Plans and Subscription Fees
Satierra Oil may offer paid membership plans that provide access to supplier information, directory features, and other premium resources.
Our Premium Membership is offered at $700 per month, unless a different price is expressly displayed and agreed to at checkout.
The price, billing frequency, included features, and other applicable terms will be presented during the purchase process.
By purchasing a membership, you authorize Satierra Oil and its payment processors to charge your selected payment method for the applicable subscription fees and any taxes disclosed at checkout.
Membership fees pay for access to the applicable digital directory and subscription features. They do not represent payment for petroleum products, fuel deliveries, guaranteed supplier introductions, completed transactions, or guaranteed business results.
Unless expressly stated otherwise, membership fees are charged in advance for the applicable subscription period.
We reserve the right to introduce additional membership tiers, change subscription features, or revise prices for future billing periods, subject to applicable law and any required advance notice. A price change will not retroactively change a fee already paid for an existing billing period.
4. Automatic Renewal and Billing Authorization
Unless your checkout terms expressly state otherwise, subscriptions renew automatically at the end of each billing period.
For a monthly Premium Membership, your subscription will renew every month at the then-applicable disclosed price until canceled.
Before completing your purchase, you will be provided with the material subscription terms, including the price, billing frequency, automatic renewal terms, and method of cancellation.
By affirmatively agreeing to a recurring subscription, you authorize recurring charges to your selected payment method.
You are responsible for keeping your payment information current and ensuring that your payment method is authorized for the transaction.
If a payment fails, we may attempt to collect the outstanding payment or request updated payment information. We may suspend or restrict paid access if payment remains unsuccessful, subject to applicable law.
You are responsible for applicable taxes associated with your membership, except for taxes that we are legally required to collect or pay ourselves.
5. Cancellation Policy
You may cancel your subscription using the cancellation method provided in your account, through the applicable subscription management interface, or by contacting Satierra Oil at the contact address provided on our website.
Where an online cancellation method is available or required by law, you may use that method to cancel.
Cancellation will prevent future recurring charges when the cancellation becomes effective. Unless applicable law requires otherwise or we expressly state otherwise, you will retain access to paid membership features through the end of your already-paid billing period.
Canceling a subscription does not automatically entitle you to a refund for the current billing period. Refunds remain subject to our Refund Policy and any rights that cannot legally be waived.
You are responsible for ensuring that your cancellation is completed before your next billing date if you wish to avoid the next recurring charge. We recommend retaining any cancellation confirmation.

6. Refunds and Payment Disputes
Subscription fees are generally non-refundable once a billing period begins, except where a refund is required by applicable law, expressly provided under our Refund Policy, or approved by Satierra Oil.
A subscription payment purchases access to the applicable membership features. It does not guarantee that a supplier will respond to an inquiry, accept a buyer, quote a particular price, provide a particular quantity, or complete a transaction.
Dissatisfaction with a supplier’s independent business decisions or failure to complete a transaction does not, by itself, establish entitlement to a refund from Satierra Oil.
Nothing in this section limits rights you may have under applicable law.
If you believe a charge is incorrect or unauthorized, please contact us promptly so we can review the matter. This does not restrict your lawful rights to dispute a charge with your payment provider.
7. Supplier Information and Independent Verification
Supplier information on the Satierra Oil platform may come from third-party sources, publicly available information, supplier submissions, business directories, industry resources, or other lawful sources.
We endeavor to provide useful directory information, but we do not warrant that all listings are complete, current, accurate, authentic, or independently verified.
Supplier information may change without notice. Listings may contain outdated contact details, inaccurate descriptions, incomplete business information, or other errors.
Users are solely responsible for conducting their own due diligence before entering into any business relationship or transaction with a supplier discovered through Satierra Oil.
Before proceeding with a transaction, you should independently evaluate, as applicable:
● The supplier’s legal identity, business registration, and physical operations.
● Applicable licenses, permits, authorizations, and regulatory compliance.
● The supplier’s ownership, authority to sell, and ability to fulfill the proposed transaction.
● Product specifications, quality, quantity, origin, and availability.
● Pricing, payment instructions, banking information, and financial risks.
● Delivery arrangements, storage, transportation, insurance, and logistics.
● Applicable sanctions, export controls, import requirements, and trade restrictions.
● Contractual terms, inspection requirements, and dispute-resolution procedures.
You should use appropriate independent professionals, legal counsel, compliance specialists, inspectors, financial institutions, or other qualified service providers when necessary.
Satierra Oil does not guarantee the legitimacy, solvency, performance, authorization, or trustworthiness of any listed supplier or other third party.
8. No Guarantee of Transactions or Business Results
Satierra Oil provides supplier discovery and information services only, unless expressly agreed otherwise in a separate written agreement.
We do not guarantee:
● That a listed supplier currently has petroleum, fuel, or other energy products available.
● That a supplier has sufficient inventory, allocation, capacity, or authorization.
● That a supplier will respond to your inquiries or accept your business.
● That listed products will be available at a particular price or on particular terms.
● That any introduction or business connection will result in a completed transaction.
● That users will earn revenue, secure contracts, obtain financing, or achieve any particular business outcome.
● That directory information will remain available indefinitely.
All business opportunities are subject to independent verification, negotiation, contractual agreement, and applicable legal requirements.
Past business results or the presence of a supplier listing do not guarantee future results.
9. Independent Third Parties and Transaction Responsibility
Any transaction between you and a supplier is an independent transaction between the parties involved.
Satierra Oil is not a party to such transactions unless a separate written agreement expressly establishes otherwise.
We do not take possession of, own, inspect, transport, store, refine, deliver, or sell petroleum products merely by listing a supplier or facilitating access to supplier information.
We do not control third-party pricing, product availability, contract performance, payment instructions, shipment schedules, quality claims, or delivery outcomes.
You are responsible for evaluating and negotiating your own agreements and for determining whether a proposed transaction is commercially reasonable and legally permissible.
You should not send funds, disclose sensitive financial information, or rely solely on a directory listing before independently verifying the relevant party and transaction.
To the fullest extent permitted by applicable law, Satierra Oil is not responsible for losses arising from independent third-party transactions, supplier misconduct, fraud, misrepresentation, non-delivery, product defects, payment disputes, or contractual breaches by third parties.
This provision does not exclude liability that applicable law prohibits us from excluding.
10. Petroleum, Energy, and International Trade Compliance
Petroleum and energy transactions may be subject to complex laws and regulations, including requirements concerning trade sanctions, export controls, import licenses, customs, environmental protection, transportation, storage, product safety, anti-money laundering, anti-bribery, and other applicable requirements.
Users are responsible for determining which laws apply to their activities and for obtaining any necessary licenses, approvals, authorizations, and professional advice.

11. Membership Access and Permitted Use
Membership access is intended for the individual or business account authorized to use the applicable subscription.
Unless we provide prior written authorization, you may not:
● Share paid login credentials with unauthorized persons.
● Resell, sublicense, redistribute, or commercially exploit directory access.
● Copy, download, reproduce, scrape, or systematically extract supplier information for redistribution or resale.
● Republish supplier lists or contact databases as a competing directory.
● Use automated systems to collect directory information in violation of our access restrictions.
● Circumvent paywalls, access controls, or membership restrictions.
● Misrepresent your identity, business, qualifications, or authority.
● Use the Services to harass, defraud, threaten, or harm others.
● Interfere with the security, availability, or operation of the website.
Your membership does not transfer ownership of the directory or grant you exclusive rights to any supplier listed on the platform.
We may investigate suspected misuse and take reasonable action to protect the Services, our intellectual property, our users, and third-party rights.
12. Account Security and User Responsibilities
You agree to provide accurate and current information when registering for an account or purchasing a subscription.
You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account, except to the extent that applicable law provides otherwise.
You must promptly notify us if you suspect unauthorized access to your account or unauthorized use of your membership.

Such damages may include lost profits, lost business opportunities, lost data, loss of anticipated savings, business interruption, or losses associated with third-party suppliers and transactions.
To the fullest extent permitted by applicable law, Satierra Oil will not be liable for losses resulting from your reliance on supplier listings, independent supplier conduct, unsuccessful business negotiations, inaccurate third-party information, unauthorized third-party activity outside our reasonable control, or your failure to conduct appropriate due diligence.
To the fullest extent permitted by law, Satierra Oil’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:
1. The total membership fees you paid directly to Satierra Oil during the three months immediately preceding the event giving rise to the claim; or
2. US$100.
This limitation applies only to the extent permitted by applicable law and does not limit liability that cannot legally be limited, including any non-waivable statutory rights.
Nothing in this section limits liability for fraud, intentional misconduct, or other matters where such limitation is prohibited by law.
18. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Satierra Oil and its owners, officers, employees, and contractors from third-party claims, losses, liabilities, and reasonable expenses, including reasonable legal fees, arising from:
● Your material breach of these Terms.
● Your unlawful use of the Services.
● Your infringement of another party’s rights.
● Your misrepresentation of your identity, business, authority, or activities.
● Your independent business transactions or dealings with suppliers, to the extent a claim results from your acts, omissions, contractual obligations, or misconduct.
This section does not require you to indemnify Satierra Oil for claims caused by Satierra Oil’s own conduct to the extent such indemnification is prohibited by law.
We will provide reasonable notice of a covered claim where required, and any settlement involving obligations imposed on you will require your consent where applicable law requires it.
19. Suspension and Termination
We may suspend, restrict, or terminate your access to the Services if we reasonably believe that you have materially violated these Terms, engaged in fraudulent or unlawful activity, compromised website security, misused supplier information, or created a material risk to Satierra Oil or other users.

Termination does not eliminate payment obligations that accrued before termination or provisions that by their nature should survive, including intellectual property, disclaimers, liability limitations, and dispute-related provisions.
